
Specialized Fleet, Corporate, and Private Cleaning Services.
This document establishes the terms and conditions governing the provision of Specialized Cleaning, Disinfection, and Detailing Services for Private Vehicles and/or Commercial Fleets (hereinafter, "the Service") offered by REAL GW LLC (hereinafter, 4 LABS DETAIL) to the client [Client/Company Name] (hereinafter, "the Client").
The Service includes deep cleaning, disinfection, sanitization, and aesthetic protection of the bodywork, interiors, upholstery, and visual components of the vehicles, according to the work plan agreed upon and the frequency defined in the attached Quote/Contract. The service is limited to aesthetic detailing and cleaning, explicitly excluding mechanical maintenance, electrical repairs, or any technical engine intervention that is not purely aesthetic.
3.1. Quote: The request for the Service by the Client will result in the issuance of a detailed Quote/Contract, specifying the type of vehicle(s), the inventory of units (in the case of fleets), frequency, schedules, and the applicable rate.
3.2. Acceptance: The contract is considered formalized upon the signature of the Quote/Contract or through written confirmation of the service and/or payment of the corresponding deposit.
3.3. Validity: The Quote/Contract will have the validity specified therein. In fleet agreements, in the absence of indication, a renewable term of 12 months shall be understood, with written notification of non-renewal 30 days in advance.
4.1. Compliance: To perform the Service with the diligence and professionalism typical of the automotive detailing sector, using qualified personnel, advanced techniques, and specialized products that guarantee the hygiene and protection of the vehicle's surfaces.
4.2. Schedules: To respect the agreed schedules for the provision of the service, aiming to minimize the impact on the operational availability of the fleet or the personal use of the Client's vehicle.
4.3. Insurance: To maintain General Liability Insurance covering possible damages derived directly from the provision of the Service.
5.1. Access and Availability: The Client must guarantee 4 LABS DETAIL access to the units (vehicles) at the previously agreed place and time. For fleets, the Client will provide a list of the license plates to be serviced.
5.2. Vehicle Condition: The Client agrees to hand over vehicles free of high-value personal items. 4 LABS DETAIL is not responsible for items not previously declared.
5.3. Workspace: If the service is on-site (Mobile), the Client must provide a safe and suitable space to perform the cleaning tasks, with access to water and electricity if necessary (unless otherwise agreed).
5.4. Reception and Signature: The Client or an authorized person must be present at the end of the Service to perform the delivery inspection and sign the conformity of the work performed.
6.1. Rate: The Service rate shall be as agreed and reflected in the Quote/Contract, which includes the Tax Base and Value Added Tax (VAT) currently in force in Spain.
6.2. Invoicing: Invoices will be issued on a Monthly/Quarterly/As Agreed basis and shall be payable via Bank Transfer/Direct Debit/Other within 5 calendar days from issuance.
6.3. Non-payment: Late payment may accrue late interest according to the Law and may entitle the Provider to suspend the service until the debt is settled.
7.1. Service Modification: Any change in the number of vehicles in the fleet or cleaning frequency must be agreed upon in writing and will result in the issuance of a new quote or annex.
7.2. Termination: Either party may terminate the contract in the event of a serious breach of obligations by the other party, upon written notice.
8.1. Damages: The Provider shall be liable for material damages to the vehicles caused directly and proven to be due to gross negligence of its personnel during the service, within the limits of its Liability policy.
8.2. Exclusions: The Provider is not responsible for pre-existing damage (scratches, dents, paint wear, previous electrical failures) or damage resulting from the prior state of deterioration of the vehicle.
9. For the resolution of any conflict or litigation arising from the interpretation or execution of this contract, the parties submit to the Judges and Courts of Manacor, expressly waiving any other jurisdiction that may correspond to them.
